ISNETWORLD INSURANCE AGENT/BROKER ONLINE REGISTRATION AGREEMENT

Welcome to the ISNetworld Insurance Agent/Broker Online Registration Agreement (“Registration Agreement”). This Registration Agreement describes the terms and conditions applicable to your use of our services available under the domain and subdomains of www.ISNetworld.com or www.isn.com (collectively, “ISNetworld”). By using or accessing ISNetworld, you are agreeing to be bound by the terms and conditions of this Registration Agreement, promising you have the authority to accept this Registration Agreement on behalf of your company (“Agent/Broker”), and acknowledging that you and Agent/Broker agree to the terms of this Agreement.

TERMS OF USE

1. By accessing ISNetworld via an ISN-provided user name and password, you are hereby (a) requesting access to ISNetworld in order for Agent/Broker to submit certain information, including, without limitation, certificates of insurance, required endorsements, workers' compensation experience modification rating (“EMR”) information and related data (collectively, the “Data”) regarding details of certain third parties who are subscribers to ISNetworld, and (b) permitting the review of the Data by ISNetworld and/or ISNetworld users for compliance with those users’ requirements. Agent/Broker attests that the Data provides an accurate representation of provisions in actual insurance policies, EMR information or other underlying information (the actual underlying information, whether insurance policies, EMR information, or other supporting data, the “Underlying Information” for purposes hereof), and the Data does not supersede the terms and provisions of the Underlying Information. Data provided by Agent/Brokers for review must be provided on forms and templates that meet applicable industry, regulatory, and legal guidelines and requirements. By its participation herein, Agent/Broker also agrees to be included in a directory of registered Agents/Brokers searchable by ISNetworld users. Information available through the searchable directory may include the Agent/Broker's name and logo (as may be provided by Agent/Broker), office locations, industry(ies) served and specialty(ies) and ISNetworld registration and account activity information for the Agent/Broker.

2. Agent/Broker agrees to: (i) access ISNetworld through its secure username and password login; (ii) provide the Data on behalf of Agent/Broker's clients or other third parties; and (iii) receive relevant communications from ISN, such as Data review results and expiration notifications.

3. In consideration for access to ISNetworld, Agent/Broker hereby consents to be bound by: (i) the ISNetworld Privacy Policies (available at http://www.isnetworld.com/Homepage/privacyPolicy.aspx), as may be amended or modified from time to time; and (ii) the Trademark & Logo Policy (available at http://www.isnetworld.com/Homepage/Trademark_LogoPolicy.aspx), as may be amended or modified from time to time.

4. Agent/Broker hereby covenants, represents, and warrants that Agent/Broker is a properly licensed insurance Agent/Broker and is presently compliant with all relevant company, local, state, provincial and federal licensing regulations to which it may be subject.

5. Agent/Broker agrees not to utilize ISNetworld for the solicitation of any of ISN's users, data providers, or other third parties.

6. ISN hereby reserves the right to terminate this Registration Agreement at any time. Agent/Broker may terminate this Registration Agreement at any time by ceasing its use of www.ISNetworld.com or www.isn.com and its sub-domains.

7. Agent/Broker agrees to indemnify and hold harmless ISN and its affiliates, employees, agents, licensors, successors and assigns (together, the “ISN Parties”) against any damages and liability, including reasonable attorneys’ fees, awarded based on a claim that the Data, or the ISN Parties use thereof, is a proprietary right of any third party, whether such proprietary right is by copyright, trademark, trade secret, or otherwise. Agent/Broker agrees to indemnify and hold harmless the ISN Parties from all damages and liability, including reasonable attorneys’ fees, incurred in connection with any loss arising from (a) Agent/Broker’s breach of its obligations under this Registration Agreement; (b) the negligence or willful misconduct of Agent/Broker; or (c) the inaccuracy, incompleteness, invalidity or incorrectness of any Data.

8. Agent/Broker covenants that any employees, independent contractors, agents of Agent/Broker or other persons given passwords to ISNetworld by Agent/Broker shall, by their use of their password and by accessing ISNetworld or other websites owned or operated by ISN, consent to the terms hereof.
